Terms of Service

1. Acceptance of Terms

By accessing or using the Chief platform ("Service") operated by Methodic Ventures LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Chief is an agentic coding platform that orchestrates autonomous AI agents to perform software engineering tasks on your behalf. The Service connects to your codebases, dispatches work to AI agents (including third-party AI providers), and manages the resulting outputs. You acknowledge that AI agents operate with significant autonomy and may read, modify, create, or delete code and files within the projects you configure.

3. Account and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years old to use the Service. You agree to provide accurate information and to promptly update it if it changes.

4. Data Sharing and Processing

By using the Service, you acknowledge and consent to the following:

• Your source code, project files, configuration, and related data ("User Content") may be transmitted to and processed by third-party AI providers (such as Anthropic, OpenAI, and others) in order to fulfill agent tasks.
• We may store metadata about your projects, tasks, and agent interactions to provide and improve the Service.
• You are solely responsible for ensuring that sharing your User Content with the Service and its AI providers does not violate any obligations you have to third parties, including employer agreements, client contracts, or open-source licenses.
• You should not use the Service with codebases containing trade secrets, classified information, or data subject to regulatory restrictions (e.g., HIPAA, ITAR) unless you have independently verified compliance.

5. Autonomous Agent Actions

You acknowledge that AI agents operating through the Service may take autonomous actions including but not limited to: writing code, modifying files, executing commands, creating commits, and interacting with external services configured in your projects. While the Service provides review mechanisms, you accept that:

• Agent outputs may contain errors, security vulnerabilities, or unintended changes.
• You are responsible for reviewing, testing, and validating all agent-produced work before deploying it to production or relying on it in any capacity.
• The Company is not liable for any consequences arising from agent actions, including but not limited to data loss, security breaches, service outages, financial losses, or reputational harm.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, METHODIC VENTURES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

YOU EXPRESSLY WAIVE ANY CLAIMS FOR DAMAGES ARISING FROM ACTIONS TAKEN BY AI AGENTS THROUGH THE SERVICE, INCLUDING DAMAGES RESULTING FROM CODE MODIFICATIONS, DATA LOSS, SYSTEM CHANGES, OR ANY OTHER AUTONOMOUS AGENT BEHAVIOR.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI AGENT OUTPUTS WILL BE ACCURATE, COMPLETE, SECURE, OR ERROR-FREE.

8. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation.
• Generate malicious code, malware, exploits, or code intended to cause harm.
• Circumvent security measures of any system, network, or service.
• Infringe upon the intellectual property rights of any third party.
• Process data in violation of privacy laws or regulations.
• Engage in any activity that could damage, disable, or impair the Service or interfere with other users' access.
• Use the Service to develop competing products or for benchmarking purposes without prior written consent.

9. Intellectual Property

You retain ownership of your User Content. We claim no ownership over code or content generated by AI agents on your behalf. However, you acknowledge that AI-generated outputs may not be eligible for copyright protection in all jurisdictions and that similar outputs may be generated for other users.

10. Indemnification

You agree to indemnify and hold harmless Methodic Ventures LLC and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections regarding limitation of liability, disclaimers, indemnification, and governing law survive termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
